1. Acceptance of Terms

By accessing and using AACWorkflow ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you may not use the Services. We reserve the right to modify these Terms at any time. Continued use after modification constitutes acceptance.

2. Use License and Restrictions

2.1 Grant of License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes according to these Terms.

2.2 Prohibited Uses

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe third-party intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Reverse engineer, decompile, or attempt to access source code
  • Circumvent security measures or rate limits
  • Scrape or bulk-download content without authorization
  • Impersonate other users or misrepresent identity
  • Harass, threaten, or defame others
  • Sell, resell, or redistribute the Services
  • Attempt unauthorized access to systems or accounts

3. User Accounts

3.1 Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Provide accurate, current, and complete information
  • Immediately notify us of unauthorized access
  • Accept responsibility for all activities under your account
  • Comply with all applicable laws

3.2 Account Suspension

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in illegal activity
  • We believe the account poses a security risk
  • You violate our Acceptable Use Policy

4. Intellectual Property Rights

4.1 Company IP

All content, features, and functionality of the Services (including software, technology, code, designs) are owned by or licensed to AACWorkflow and are protected by copyright, trademark, and other intellectual property laws.

4.2 User Content

You retain ownership of content you upload or create ("User Content"). By uploading User Content, you grant us a license to:

  • Store and display the content
  • Make necessary technical modifications
  • Create backups and redundant copies
  • Use aggregated data for analytics (anonymized)

You warrant that you own or have rights to all User Content and that it does not violate third-party rights.

4.3 Feedback

Any feedback, suggestions, or improvements you provide are non-confidential and we may use them without obligation to you.

5. Limitation of Liability

5.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS (OR $100 IF YOU PAID NOTHING)
  • THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF POSSIBLE DAMAGES

5.3 Exceptions

Some jurisdictions do not allow limitation of liability. These limitations may not apply to you for certain statutory damages or obligations.

6. Indemnification

You agree to indemnify and hold harmless AACWorkflow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable laws
  • Your User Content
  • Your infringement of third-party rights

7. Payment and Billing

7.1 Charges

If you use a paid plan:

  • You agree to pay all charges according to the plan terms
  • Charges are billed according to your plan cycle (monthly/annual)
  • Prices are subject to change with 30 days' notice

7.2 Payment Method

  • You authorize us to charge your payment method on file
  • You are responsible for maintaining current payment information
  • Failed payments may result in service suspension

7.3 Refunds

Refund policies are detailed in your plan agreement. Generally, fees are non-refundable except where required by law.

8. Data Protection and Privacy

Your use of the Services is governed by our Privacy Policy. By using the Services, you consent to our data practices as described in that policy.

9. Third-Party Services and Content

The Services may integrate with or link to third-party services and content. We are not responsible for:

  • Third-party content or functionality
  • Third-party privacy policies or terms
  • Data loss or issues related to third-party services

Your use of third-party services is subject to their terms and policies.

10. Termination

10.1 By You

You may terminate your account at any time through your account settings.

10.2 By Us

We may terminate or suspend your account:

  • For breach of these Terms
  • For illegal activity or suspected fraud
  • For non-payment of fees
  • For inactivity (typically 12+ months)

10.3 Effect of Termination

Upon termination:

  • Your right to use the Services ends immediately
  • Your data will be deleted according to our retention policy
  • Provisions that by nature should survive termination (Limitation of Liability, Indemnification) remain in effect

11. Export Control

The Services may be subject to export control laws. You agree not to export or re-export the Services or content:

  • To any U.S. embargoed country
  • To any entity on U.S. government restricted party lists
  • For prohibited end-uses (weapons, nuclear, etc.)

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles.

Any disputes shall be resolved through:

These Terms, together with our Privacy Policy and any other policies referenced, constitute the entire agreement between you and AACWorkflow regarding the Services.
